By accessing and using Loopency ("Service"), you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to these Terms of Service, please do not use the Service.

2. Description of Service

Loopency provides a workspace operating system that enables users to create, manage, and collaborate on data-driven applications. The Service includes workspace management, data storage, AI features, automation tools, and collaboration features.

3. User Accounts

3.1 Account Creation

You must create an account to use the Service. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

3.2 Account Responsibilities

You agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update your account information
• Maintain the security of your password and account
• Notify us immediately of any unauthorized use of your account
• Accept responsibility for all activities under your account

4. Subscription Plans and Billing

4.1 Plans

Loopency offers Free, Pro, and Enterprise subscription plans. Features and limits vary by plan as described on our pricing page.

4.2 Billing

Pro and Enterprise plans are billed on a recurring basis. You authorize us to charge your payment method for all fees incurred. All fees are non-refundable except as required by law or as explicitly stated in our Refund Policy.

4.3 Seat-Based Pricing

Pro plans are charged per user seat at $12/month per seat. You will be billed for the number of active team members (excluding guests) on your account. Seat count updates are processed automatically when you add or remove team members.

4.4 Plan Changes

You may upgrade your plan at any time. Upgrades take effect immediately. Downgrades take effect at the end of your current billing cycle.

5. Acceptable Use

You agree not to:

• Violate any laws or regulations
• Infringe on intellectual property rights
• Upload malicious code or viruses
• Attempt to gain unauthorized access to the Service
• Use the Service to store or transmit illegal content
• Interfere with or disrupt the Service
• Use the Service for any unauthorized commercial purpose
• Resell or redistribute the Service without authorization

6. Data and Privacy

Your use of the Service is also governed by our Privacy Policy. We collect, use, and protect your data as described in the Privacy Policy.

6.1 Your Data

You retain all rights to your data. You grant us a limited license to host, store, and process your data solely to provide the Service.

6.2 Data Security

We implement industry-standard security measures to protect your data. However, no method of transmission over the internet is 100% secure.

7. Intellectual Property

The Service and its original content, features, and functionality are owned by Loopency and are protected by international copyright, trademark, and other intellectual property laws.

8. Service Limits

Each subscription plan has specific limits on resources such as workspaces, records, storage, AI credits, and automation runs. These limits are described on our pricing page and enforced by the Service.

9. Termination

We may terminate or suspend your account immediately, without prior notice, for any violation of these Terms. Upon termination, your right to use the Service will immediately cease.

You may cancel your subscription at any time. Upon cancellation, you will retain access until the end of your current billing period.

10. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

11. Limitation of Liability

IN NO EVENT SHALL LOOPENCY BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

12. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of any changes by posting the new Terms on this page and updating the "Last updated" date. Your continued use of the Service after changes constitutes acceptance of the new Terms.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Loopency operates, without regard to its conflict of law provisions.
